We are seeking a Equity Capital Markets Counsel to join our Corporate and Securities team in Canada. The ideal candidate will bring strong experience executing transactions under the Securities Act of 1933 , including high‑yield bonds, Rule 144A offerings, Eurobonds, and EMTN programs , along with robust transactional and regulatory capabilities across the equity capital markets lifecycle.

Responsibilities:

• Provide legal and regulatory support on IPOs and equity capital markets transactions led by the bank.
• Advise internal deal teams on structuring, documentation, and compliance with securities laws and stock exchange requirements.
• Draft, review, and negotiate prospectuses, underwriting agreements, and transaction‑related documentation.
